the seller\u2019s notification linking a specific cargo to the contract. In grain trading, it\u2019s typically an email, not a formal sealed document \u2014 but GAFTA proformas strictly regulate what must be in it.<\/p>\n<p>Miss the deadline or get it wrong, and the buyer can reject the goods and terminate the contract, even if the cargo is already loaded on the vessel. One day late = contract terminated.<\/p>\n<p>Appropriation applies to <strong>CIF<\/strong> and <strong>CFR (C&amp;F)<\/strong> contracts \u2014 where the seller arranges shipment. In FOB contracts the buyer nominates the vessel, so no separate appropriation mechanism exists.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"What_is_appropriation_and_how_does_it_relate_to_risk_transfer\"><\/span>What is appropriation and how does it relate to risk transfer?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>Appropriation means <strong>linking specific goods to your contract<\/strong>. Before appropriation, a CIF\/CFR buyer doesn\u2019t know which vessel carries their cargo or when it was shipped.<\/p>\n<p>Under CIF and CFR, risk technically passes to the buyer at shipment. But in GAFTA practice, this only matters when goods are <strong>linked to your specific contract<\/strong> \u2014 when the seller sends valid notice of appropriation (assuming the B\/L is issued). Until then, you can\u2019t exercise rights over the cargo, and the seller can\u2019t demand payment.<\/p>\n<p>That\u2019s why notice of appropriation isn\u2019t formality \u2014 it\u2019s the critical moment of contract performance.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"The_Notice_of_Appropriation_Mechanism_in_GAFTA_Contracts\"><\/span>The Notice of Appropriation Mechanism in GAFTA Contracts<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>Let\u2019s use <a href=\"https:\/\/www.gafta.com\" target=\"_blank\" rel=\"noopener\">GAFTA 48<\/a> \u2014 the standard proforma for grain on CIF\/CIFFO\/C&amp;F\/C&amp;FFO terms \u2014 as our example. Other GAFTA proformas have different appropriation rules, so always check your contract\u2019s specific form.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Deadline_for_Sending_Notice\"><\/span>Deadline for Sending Notice<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Under <a href=\"https:\/\/www.gafta.com\" target=\"_blank\" rel=\"noopener\">GAFTA 48 Clause 11(b)<\/a>, the seller must send notice within <strong>3 business days from the date of the last bill of lading<\/strong>.<\/p>\n<p>Under <a href=\"https:\/\/www.gafta.com\" target=\"_blank\" rel=\"noopener\">Clause 22<\/a>, non-business days include Saturdays, Sundays, and officially recognized holidays <strong>of the respective countries<\/strong>, plus any days GAFTA declares as non-business.<\/p>\n<p>The phrase \u201crespective countries\u201d creates a practical problem: if seller is in Ukraine and buyer in Switzerland, whose holidays count? Either clarify this in the contract or take the safe route \u2014 count holidays of both countries.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"What_Must_Be_in_the_Notice_of_Appropriation\"><\/span>What Must Be in the Notice of Appropriation<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Under <a href=\"https:\/\/www.gafta.com\" target=\"_blank\" rel=\"noopener\">GAFTA 48 Clause 11(a)<\/a>, the notice must contain four mandatory elements:<\/p>\n<ol>\n<li><strong>Vessel\u2019s name<\/strong> \u2014 the exact name of the ship carrying the goods<\/li>\n<li><strong>Port of shipment<\/strong> \u2014 the port from which the goods were dispatched<\/li>\n<li><strong>Presumed weight shipped<\/strong> \u2014 the weight of goods loaded onto the vessel<\/li>\n<li><strong>Date or presumed date of the bill of lading<\/strong> \u2014 the exact or expected date of the bill of lading<\/li>\n<\/ol>\n<p>If the notice lacks any one of these elements, the buyer may reject it and demand correction.<\/p>\n<p>The notice must be sent to the address specified in the contract (the buyer, its agent, or the Selling Agent\/Brokers), in writing, with proof of dispatch available.<\/p>\n<p><img loading=\"lazy\" decoding=\"async\" width=\"2560\" height=\"1718\" src=\"https:\/\/danil-hristich.com\/wp-content\/uploads\/2026\/04\/hector-j-rivas-sOABjN47fp8-unsplash-scaled.jpg\" alt=\"Golden wheat field close-up representing grain commodity trade\" class=\"aligncenter wp-image-4421\" title=\"\" srcset=\"https:\/\/danil-hristich.com\/wp-content\/uploads\/2026\/04\/hector-j-rivas-sOABjN47fp8-unsplash-scaled.jpg 2560w, https:\/\/danil-hristich.com\/wp-content\/uploads\/2026\/04\/hector-j-rivas-sOABjN47fp8-unsplash-894x600.jpg 894w, https:\/\/danil-hristich.com\/wp-content\/uploads\/2026\/04\/hector-j-rivas-sOABjN47fp8-unsplash-1024x687.jpg 1024w, https:\/\/danil-hristich.com\/wp-content\/uploads\/2026\/04\/hector-j-rivas-sOABjN47fp8-unsplash-1536x1031.jpg 1536w, https:\/\/danil-hristich.com\/wp-content\/uploads\/2026\/04\/hector-j-rivas-sOABjN47fp8-unsplash-2048x1375.jpg 2048w, https:\/\/danil-hristich.com\/wp-content\/uploads\/2026\/04\/hector-j-rivas-sOABjN47fp8-unsplash-270x180.jpg 270w\" sizes=\"auto, (max-width: 2560px) 100vw, 2560px\" \/><\/p>\n<h2><span class=\"ez-toc-section\" id=\"String_Appropriation_Passing_Notice_Down_the_Chain\"><\/span>String Appropriation: Passing Notice Down the Chain<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>Grain typically flows through multiple traders:<\/p>\n<p>Producer \u2192 Trader A \u2192 Trader B \u2192 Consumer<\/p>\n<p>Each trader receives notice from their seller <strong>and<\/strong> must pass it to their buyer <strong>on time<\/strong>. This is <strong>string appropriation<\/strong>.<\/p>\n<p><a href=\"https:\/\/www.gafta.com\" target=\"_blank\" rel=\"noopener\">GAFTA 48 Clause 11(c)<\/a> sets special rules for passing notice down the chain. Each seller must pass the notice within the same 3 business days. But if notice arrives <strong>on the last day of the deadline or later<\/strong>, the 1600-hours rule kicks in:<\/p>\n<ol>\n<li>Notice received <strong>before 16:00 on a business day<\/strong> \u2192 pass it <strong>same calendar day<\/strong><\/li>\n<li>Notice received <strong>after 16:00 or on a non-business day<\/strong> \u2192 pass it <strong>by 16:00 next business day<\/strong><\/li>\n<\/ol>\n<p>If Trader A gets notice at 15:50 on the final day, they must pass it that same day. Fail to do that, and the buyer can terminate and claim damages under the default clause \u2014 even if the cargo is fine and was loaded during the shipment window.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"Consequences_of_Late_or_Defective_Notice\"><\/span>Consequences of Late or Defective Notice<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<h3><span class=\"ez-toc-section\" id=\"Breach_of_Condition\"><\/span>Breach of Condition<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Late or defective notice is a <strong>breach of condition<\/strong>, not a warranty. That means the buyer can\u2019t just claim compensation \u2014 they get <strong>full contract termination<\/strong> and damages.<\/p>\n<p>Even one day late = buyer can reject the notice, reject the cargo, and claim default damages.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Deemed_Default\"><\/span>Deemed Default<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>GAFTA 48 has an automatic default mechanism. Under <a href=\"https:\/\/www.gafta.com\" target=\"_blank\" rel=\"noopener\">Clause 24(f)<\/a>, if notice hasn\u2019t been delivered by <strong>the 5th business day after the final day for appropriation<\/strong>, the seller is <strong>in default automatically<\/strong>. Default date = first business day after that.<\/p>\n<p>Clause 24(f) also lets the seller <strong>self-declare default<\/strong> anytime after the shipment period expires. Focus on these:<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Calendar_Days_vs_Business_Days\"><\/span>Calendar Days vs. Business Days<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Some clauses count <strong>calendar days<\/strong>, others <strong>business days<\/strong>. For GAFTA 48 notice of appropriation, it\u2019s business days. Confuse them and your notice gets rejected as late.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"All_Four_Elements_Required\"><\/span>All Four Elements Required<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Clause 11(a) requires: vessel name, port of shipment, presumed weight, and B\/L date. Missing any one or stating it vaguely (\u201cas per B\/L\u201d instead of exact weight) gives the buyer grounds to reject.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Which_Errors_Can_Be_Fixed\"><\/span>Which Errors Can Be Fixed?<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Under <a href=\"https:\/\/www.gafta.com\" target=\"_blank\" rel=\"noopener\">Clause 11(e)<\/a>, the B\/L date is <strong>for information only<\/strong> \u2014 the actual B\/L date controls the deadline. So a wrong B\/L date doesn\u2019t kill the notice. But errors in vessel name, port, or weight have no such exception.<\/p>\n<p>Under <a href=\"https:\/\/www.gafta.com\" target=\"_blank\" rel=\"noopener\">Clause 11(f)<\/a>, you can correct <strong>errors in transmission<\/strong> \u2014 mistakes that happened during delivery. This is narrow: your own errors aren\u2019t \u201ctransmission errors\u201d.<\/p>\n<p><strong>Best practice<\/strong>: add <strong>\u201cOBN\u201d (or better name)<\/strong> after the vessel name. This lets you fix vessel name spelling without risking rejection.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"Valid_vs_Defective_Notice_Different_Rules\"><\/span>Valid vs. Defective Notice: Different Rules<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>A <strong>valid<\/strong> notice (meeting all Clause 11(a) requirements) <a href=\"https:\/\/www.gafta.com\" target=\"_blank\" rel=\"noopener\">under Clause 11(h)<\/a> cannot be withdrawn without the buyer\u2019s consent. The seller is stuck with it.<\/p>\n<p>A <strong>defective<\/strong> notice (errors or incomplete) is different. The seller can withdraw it and send a new one \u2014 if the new one arrives <strong>within the contract period<\/strong>. But if the buyer accepts a defective notice without comment, the buyer may lose the right to object later.<\/p>\n<p><strong>If you receive defective notice<\/strong>: <strong>expressly reserve your rights<\/strong> in writing. Don\u2019t just accept it silently \u2014 you\u2019ll lose the right to reject.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"Bottom_Line\"><\/span>Bottom Line<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>Notice of Appropriation is the critical moment in CIF\/CFR performance.
